REPORTBYCHAIRMAN:TheChairmanreportedthathehadmetMr.NathanRosenbergconcerningXYZ’sinterestsincomputersoftwaredevelopmentandtheservicesMr.RosenbergispreparedtoextendtoaidXYZindevelopingtheseinterests.FortheinformationoftheChairman,Mr.RosenbergoutlinedthegrowthofthesoftwareindustryfromthetimehelaunchedABCSoftwareCompanyin1987untiltoday.
REPORTBYGENERALMANAGER:
ThomasKilroysummarizedhisdetaileddiscussionswithJayJefferson,ChiefExecutiveOfficerofHudsonAudiovisualProductions(“Hudson”)andBZN’sinterestsinaudiovisualinstructionalmaterials.TheclassroomuseofaudiovisualinstructionalmaterialsintheUnitedStates,Canada,theUnitedKingdom,andothercountriesoftheEuropeanUnionhasbeenamajoreducationaltrendandhashadphenomenalgrowth.AtrendthateducatorsinNorthAmericaandWesternEuropepredictingislikelytocontinue.
SincetherearemanywaysthatHudsoncanhelpBZNdevelopaninternationalaudiovisualprogramforuseinEnglish-speakingcountriesandwithtranslationforotherpartsoftheworld,Mr.Kilroymadethefollowingproposal,secondedbyNicholsRaines,toauthorizeafeasibilitystudytocoverthefollowing:
a)ThepresenteducationalaudiovisualmarketplaceintheUnitedStates,Canada,andtheUnitedKingdom,and
itspotentialforexpansion.b)Presentcompaniesoperatinginthismarketplaceandtheirshare.
c)Growthpatternsofdifferenttypesofaudiovisualmaterialsandtheirpotentialforcontinuedgrowthand
change.
REPORTBYMARKETINGMANAGER:
ThomasKilroygaveasummaryofastudyonthefeasibilityofacquiringanaudiovisualinstructionalmaterialscompanyinNorthAmericaandtheUnitedKingdom.Resultsindicatemoreinvestigationisneeded.-ToselectthecompaniesthatseemtoofferthebestopportunitiestoBZNandtoinvestigatethepossibilityofacquiringthem.
-ToinquireaboutthetermsofsalesfromtheownersofthecompaniesselectedbyBZNandreportthesetermstoBZN.
MOTION:ChairmanBrownproposedamotion,secondedbySharonMoretti,thatanadhoccommitteeofdirectorsshouldbeinstitutedtostudyMr.Rosenberg’sinvolvementingreaterdetail.Theboardagreedtovoteonthismotionatthenextmeeting.
RESOLUTION:Aresolutionauthorizingthecompany’stransferagenttoissuenewshareswasunanimouslyadoptedbyallmembers.
NEXTMEETING:ItwasagreedthatthenextmeetingwillbeheldonMay2,2009,at10:30A.M.,inthecompanyboardroom.
